Welcome to Fels! The terms “we”, “us” and “our” refer to Fels. Fels operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”).

Fels is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability. Nothing in these Terms affects your mandatory statutory rights as a consumer under the law of your country of residence.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy (the “Privacy Policy”). If you do not agree to these Terms of Service or the Privacy Policy, you should not use or access our Services.

ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your country of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services, including accessing or browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide is correct, current, and complete and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to any other person.

OUR PRODUCTS

We have made every effort to provide an accurate representation of our products and services in our online store. However, colours and product appearance may differ from how they appear on your screen due to the type of device you use to access the store and your device settings and configuration.

All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis. This does not affect your statutory conformity rights set out in Section 7.

ORDERS

When you place an order, you are making an offer to purchase. The agreement is concluded at the moment we confirm acceptance of your order. After we receive your order, we confirm it by email without undue delay. We may, within legal limits, check whether you can meet your payment obligations and whether an order can responsibly be accepted, and we may decline an order on reasonable grounds.

Please review your order carefully before submitting. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the email, billing address, and/or phone number provided at the time the order was made. This Section does not limit your right of withdrawal set out in Section 6.

PRICES AND BILLING

The prices of our products are stated in euros and include VAT, unless stated otherwise. Shipping costs and, where applicable, any other charges are stated separately before you complete your order. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation email, except in the case of an obvious error.

Prices, discounts and promotions are subject to change without notice, but changes do not affect orders already confirmed. We may offer, from time to time, promotions that are governed by terms separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our store, and to promptly update your account information so that we can complete your transactions and contact you as needed.

SHIPPING AND DELIVERY

We deliver to the address you provide and handle accepted orders with due care. Unless a longer term is agreed, we deliver within 30 days. All delivery times are estimates. If delivery is delayed or cannot be carried out in full, we inform you within a reasonable time; in that case you may cancel the agreement without cost and are entitled to a refund. For consumers, the risk of loss or damage to products passes to you when you, or a third party designated by you (other than the carrier), take physical possession of the products.

RIGHT OF WITHDRAWAL

As a consumer, you may withdraw from the agreement within 14 days without giving a reason, under the conditions described on our Cancellation policy page. That page and our Returns page form part of these Terms. Your purchases are subject to return or exchange in accordance with those policies and your statutory rights.

You may also use the European Online Dispute Resolution platform of the European Commission for the out-of-court settlement of consumer disputes.

CONFORMITY AND STATUTORY WARRANTY

We ensure that our products comply with the agreement, the specifications stated in the offer, and reasonable requirements of soundness and usability. Your statutory rights as a consumer, including your legal warranty of conformity, always apply and are not limited by these Terms. If a product is defective or does not conform to the agreement, contact us at info@fels.nl so we can find a solution.

COMPLAINTS

If you have a complaint about a product or our service, we would like to hear from you. Send your complaint, described clearly and fully, to info@fels.nl. We respond within 14 days of receipt. If a complaint needs a longer processing time, we let you know within that period and indicate when you can expect a full answer.

INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Fels, its affiliates or licensors and are protected by applicable copyright, trademark and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Fels, Shopify or any third party. All rights not expressly granted herein are reserved by Fels.

Fels’ names, logos, product and service names, designs, and slogans are trademarks of Fels or its affiliates or licensors. You must not use such trademarks without the prior written permission of Fels. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

OPTIONAL TOOLS

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input over.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. Any use by you of the optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). Any new features offered through the Services shall also be subject to these Terms.

The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third-party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. RELATIONSHIP WITH SHOPIFY

Fels is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Fels. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Fels, including any injury, damage, or loss resulting from purchased products and services. You hereby release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Fels, except to the extent such release is not permitted under applicable law.

PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you, and certain personal information may be subject to Shopify’s Privacy Policy, which can be viewed here: https://www.shopify.com/legal/privacy. Information you submit to the Services may be transmitted to and shared with Shopify as well as third parties that may be located in other countries than where you reside, in order to provide services to you. By using the Services, you acknowledge that you have read our Privacy Policy.

FEEDBACK

You agree that your Feedback will not violate any right of any third party and will not contain unlawful, abusive or obscene material, or any malware. ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information in the Services that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if
any information is inaccurate at any time without prior notice (including after you have submitted your order). Where an order affected by an obvious error is cancelled after payment, you are entitled to a full refund.

You may access and use the Services for lawful purposes only. You may not access or use
the Services, directly or indirectly:

We may terminate this agreement or your access to the Services (or any part thereof) at any time for good cause, and you will remain liable for all amounts due up to and including the date of termination. Termination does not affect your statutory rights as a consumer.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

DISCLAIMER OF WARRANTIES

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this general information, and any reliance you place on such information is at your own risk.

Nothing in this Section limits or excludes the statutory warranties and conformity rights that apply to the products you purchase as a consumer, or any other rights that cannot be limited or excluded under applicable law. LIMITATION OF LIABILITY

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so, including our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited or excluded under applicable law, nor does it limit your statutory rights as a consumer.

Subject to the paragraph above and to the fullest extent permitted by applicable law, Fels shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost revenue, lost savings, or loss of data, arising from your use of the Services or any products purchased through the Services. Where our liability is not otherwise excluded, our total liability for all claims relating to these Terms or your use of the Services is limited to the amount you paid to us for the product or service giving rise to the claim, except where a higher amount is required under applicable law.

INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Fels, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers, from and against any claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. your use of the Services;
  2. your breach of these Terms of Service or the policies referenced within;
  3. your violation of any applicable law or the rights of a third party;
  4. any Feedback, content, or materials you submit or upload.

We may, at our discretion, assume the exclusive defence and control of any matter subject to indemnification, and you agree to cooperate with us in the defence of such claims.

SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

WAIVER; ENTIRE AGREEMENT

The failure by us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service, together with the Privacy Policy and any other policies posted on our website, constitute the entire agreement between you and Fels regarding the Services, and supersede all prior agreements, communications, and proposals, whether oral or written.

ASSIGNMENT

You may not assign, transfer, or delegate these Terms of Service or any of your rights and obligations under them without our prior written consent, and any attempt to do so without consent is void. We may assign, transfer, or delegate these Terms, in whole or in part, at any time, provided this does not reduce the rights you have as a consumer.

GOVERNING LAW AND DISPUTES

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of The Netherlands. If you are a consumer, you also benefit from the mandatory provisions of the law of the country in which you reside.

Disputes shall be submitted to the competent Dutch court, unless applicable law prescribes otherwise. As a consumer, you may also use the European Online Dispute Resolution platform of the European Commission.

HEADINGS

The headings used in these Terms of Service are included for convenience only and will not limit or otherwise affect the interpretation of the Terms.

CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time on this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. We will notify you of any material changes in accordance with applicable law. The version that applied at the time your agreement was concluded remains applicable to that agreement.
